Terms of Service
Version 1.4
These Terms of Service (the “Terms”) govern access to and use of ProsperousPairs.com, any Prosperous Pairs application, application and membership process, matchmaking and introduction services, communications, events, travel or hosted experiences, relationship education, and related services (collectively, the “Services”).
“Prosperous Pairs,” “we,” “us,” and “our” mean the operator of ProsperousPairs.com and the contracting entity identified in the applicable checkout, invoice, membership order, or account record.
By creating an account, submitting an application, accepting these Terms, purchasing or receiving a membership or benefit, participating in an introduction or event, or otherwise using the Services, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and age
You must be at least 21 years old, legally able to enter into a binding agreement, and legally permitted to use the Services in your jurisdiction. You may not use the Services if you are subject to a legal restriction that would make your participation unlawful or if Prosperous Pairs has suspended or terminated you for safety, fraud, abuse, or a material violation of these Terms.
You must provide truthful, current, and complete information and promptly correct material information that changes. We may request reasonable proof of age, identity, residence, relationship status, eligibility, or other information where necessary for fraud prevention, safety review, legal compliance, or human review.
2. Nature and purpose of the Services
Prosperous Pairs provides relationship-oriented dating, education, profile and application review, membership, and curated matchmaking or introduction services intended to help adults with shared interests cultivate personal and dating relationships.
Prosperous Pairs does not sell, purchase, transfer, offer, assign, or guarantee any person for marriage, common-law partnership, sexual activity, immigration sponsorship, or any other personal outcome. Fees are paid for Prosperous Pairs’ own services, time, technology, review, administration, education, matchmaking work, and eligible experiences—not for another person’s attention, consent, contact information, romantic interest, marriage, travel, immigration sponsorship, or participation.
An application, approval, payment, membership, coupon, Community Access benefit, sponsorship, profile, message, event, trip, introduction, or concierge service does not guarantee:
- approval or continued membership;
- any minimum number of matches or introductions unless a separate written service order expressly promises one;
- a response, mutual interest, contact release, meeting, date, exclusivity, relationship, engagement, marriage, or other personal outcome;
- compatibility, identity, honesty, conduct, financial condition, health, intentions, or safety of another person;
- a visa, immigration benefit, travel permission, admission to an event, or entry into any country; or
- uninterrupted or error-free operation of the Services.
Prosperous Pairs is not an immigration adviser, law firm, healthcare provider, mental-health provider, financial adviser, or guarantor of another person’s statements or conduct.
3. Applications, accounts, and human review
Submitting an application does not create a right to approval. We may request additional information, require an interview, ask for corrections, place an application into review, approve or decline an application, restrict features, pause an account, or require another reasonable eligibility or compliance step.
You are responsible for safeguarding your credentials and for activity occurring through your account. You may not share credentials, create an account for another person without authorization, impersonate another person, or bypass an eligibility, payment, safety, privacy, geographic, screening, or contact-release control.
Notify us promptly at contact@prosperouspairs.com if you believe your account has been compromised.
Administrative creation of an account does not waive the user’s obligation to review and accept the then-current Terms, Privacy Policy, and any separately required authorization before restricted features are used.
4. User representations and continuing duties
You represent and agree that:
- information you provide about your identity, age, residence, relationship status, intentions, and any legally requested background information is materially accurate and not misleading;
- you are using the Services for lawful personal dating or relationship purposes and not for trafficking, prostitution, commercial sexual activity, forced marriage, fraud, immigration fraud, financial exploitation, or another unlawful purpose;
- you will not condition money, employment, housing, travel, immigration sponsorship, gifts, loans, or other benefits on romantic or sexual attention, contact information, or continued communication;
- you will respect another person’s decision not to communicate, meet, travel, date, or continue a relationship;
- you have the rights and permissions necessary for content you submit; and
- you will comply with applicable law and any country- or state-specific compliance gate presented through the Services.
A material misrepresentation or omission may result in restriction, suspension, termination, cancellation of an introduction, or other lawful action.
5. Profiles, photos, recordings, and member content
You retain ownership of content you submit. You grant Prosperous Pairs a non-exclusive, worldwide, royalty-free, sublicensable only to service providers, and revocable license to host, store, reproduce, resize, crop, transcode, moderate, review, translate where authorized, and display that content only as reasonably necessary to operate, secure, moderate, and provide the Services, honor your visibility choices, and satisfy legal obligations.
The license ends when the content is deleted from active systems, except to the extent a limited copy remains temporarily in backups, audit records, legal holds, fraud-prevention records, or other records that must lawfully be retained.
You may not submit content that infringes another person’s rights, is materially deceptive, depicts a person without required permission, contains malware, promotes trafficking or commercial sexual activity, contains non-consensual intimate material, or violates applicable law.
Private application information, approved member-directory information, and public-preview information are separate. A payment, plan change, promotion, grant, or sponsorship does not silently make private application information public.
6. Acceptable conduct and safety rules
You may not:
- harass, threaten, stalk, coerce, exploit, blackmail, intimidate, or unlawfully discriminate against another person;
- engage in trafficking, forced marriage, prostitution, commercial sexual activity, sexual exploitation, or a mail-order-spouse scheme;
- solicit money, financial credentials, investments, cryptocurrency, immigration sponsorship, gifts, or loans through deception, manipulation, or pressure;
- impersonate another person or materially misrepresent identity, age, residence, relationship status, intentions, or legally requested background information;
- publish or distribute another person’s private or intimate information without permission;
- scrape, harvest, sell, copy in bulk, index, train a model on, or commercially exploit profiles, photos, messages, or contact information without written authorization;
- evade a block, suspension, fraud ban, geographic restriction, compliance gate, screening requirement, or contact-release restriction;
- use the Services for unlawful surveillance, automated extraction, spam, or unauthorized commercial solicitation; or
- arrange or facilitate contact or an in-person meeting in violation of a legally required disclosure or consent process.
Prosperous Pairs may preserve relevant records and take proportionate action where necessary to investigate a report, protect a person, prevent fraud, or comply with law.
7. Dating safety and independent personal decisions
Interacting with people online and in person involves risks that no platform can eliminate. Exercise caution, protect financial and identifying information, meet initially in public, tell a trusted person about meeting plans, maintain control of your transportation, and do not send money or financial credentials to a person you have not independently verified and trust.
Prosperous Pairs may provide safety information, blocking, reporting, moderation, or screening functions, but these functions do not guarantee that a person is truthful, safe, compatible, or free from criminal, abusive, fraudulent, or other harmful conduct.
Report suspected fraud, abuse, trafficking, exploitation, or safety concerns to contact@prosperouspairs.com. Contact emergency services or the appropriate local authority when immediate danger exists.
8. Identity, background, and safety screening
Where an approved policy and applicable law permit, we may conduct or require identity consistency review, age verification, applicant certifications, checks of approved public records or government safety registries, and other documented safety review. Any required Background & Safety Screening Authorization is separate from these Terms and separate from any AI consent.
Public and third-party records may be incomplete, inaccurate, delayed, outdated, sealed, expunged, unavailable, or associated with the wrong person. A name-only or partial match does not automatically establish identity or wrongdoing and should be subject to human verification where appropriate.
Unless we expressly state otherwise for a specific person and jurisdiction, Prosperous Pairs does not represent that every applicant or member has received a comprehensive criminal background check.
Commercial consumer-report or consumer-reporting-agency services are not authorized merely by accepting these Terms. If such a service is later used, Prosperous Pairs will implement any separately required permissible-purpose analysis, disclosure, authorization, dispute, and adverse-action procedures before relying on that report.
9. International matching and IMBRA compliance
International dating and matchmaking can trigger additional safety, privacy, language, immigration-related, and contact-release requirements.
Where the International Marriage Broker Regulation Act (“IMBRA”), 8 U.S.C. § 1375a, or another contact-release law applies, no payment, membership, status, promotion, staff override, event booking, or travel purchase creates a right to bypass the legally required process. Prosperous Pairs will not treat IMBRA applicability as discretionary merely because a user accepts these Terms; any reliance on a statutory exception must be documented through a counsel-approved compliance classification of the actual workflow.
Before releasing a foreign national client’s personal contact information to a U.S. client or otherwise facilitating contact where the applicable law requires it, Prosperous Pairs may require and document, as applicable:
- proof of age and identity;
- the required search of the National Sex Offender Public Website or other legally required source;
- the U.S. client’s signed background certification, documentation, or attestation required by law;
- delivery to the foreign national client, in the required primary language, of required search results or no-record documentation, background information, and government information or pamphlets;
- the foreign national client’s specific written consent to release personal contact information to the identified U.S. client; and
- retention of statutory evidence for the period required by law.
Prosperous Pairs may block messaging, personal contact release, curated introductions, travel coordination, or in-person facilitation until every applicable compliance gate is complete. Protected victim-identifying information will not be disclosed where law prohibits disclosure.
Consent to contact release is specific to the identified person and purpose and is not consent to a date, relationship, marriage, travel, immigration sponsorship, sexual activity, or further disclosure.
10. Philippines-specific safeguards
Prosperous Pairs’ purpose is to connect adults with shared interests to cultivate personal and dating relationships. The Services are not intended to match, offer, sell, or induce a Filipino national to a foreign national for marriage or common-law partnership for money, profit, material, economic, or other consideration.
No fee is payment for a Filipino person, marriage, romantic or sexual consent, personal contact information, immigration sponsorship, or a guaranteed relationship. Prosperous Pairs will not knowingly structure employee, contractor, affiliate, referral, or matchmaker compensation to be contingent on a marriage, common-law partnership, sexual activity, or unlawful sale or release of personal contact information.
Use of the Services for exploitation, trafficking, forced marriage, prostitution, commercial sexual activity, or a scheme prohibited by Philippine law is forbidden.
Prosperous Pairs may restrict, pause, or disable a Philippine advertisement, recruitment channel, paid workflow, introduction, contact release, event, or travel experience until local counsel and compliance requirements are satisfied. A contractual disclaimer does not override applicable Philippine criminal, consumer, privacy, anti-trafficking, or other law.
11. Country and jurisdiction availability
A country, state, city, or region appearing in a menu or profile does not mean that every feature is legally available there. We may apply jurisdiction-specific terms, disclosures, consent forms, age rules, screening rules, billing restrictions, safety controls, contact-release gates, or feature blocks.
We may decline to offer or may pause payment, introductions, contact release, events, travel coordination, screening, or other features in a jurisdiction until required legal, regulatory, registration, licensing, privacy, or operational conditions are satisfied.
Where mandatory local consumer law provides greater rights than these Terms, the mandatory law controls.
12. Communications and introductions
Staff messaging, directory browsing, member-to-member messaging, curated introductions, personal contact release, and in-person facilitation are separate capabilities and may have different eligibility requirements.
Every introduction and continued communication requires independent mutual consent. You may stop communicating at any time, subject to lawful record-retention obligations. You may not distribute another person’s private information outside the Services without permission.
13. Membership, billing, automatic renewal, cancellation, and refunds
The checkout or service order will display the material commercial terms applicable to the purchase before payment information or final assent is requested, including the price, currency, billing cadence, initial term, any minimum commitment, whether the service renews automatically, the renewal term, included services, material restrictions, and the method and timing of cancellation.
If recurring billing is offered:
- we will present the material automatic-renewal or continuous-service terms clearly and conspicuously before obtaining affirmative consent;
- we will obtain the affirmative consent required by applicable law before charging the selected payment method;
- we will provide a retainable acknowledgment or confirmation containing the applicable renewal terms and cancellation method where required;
- we will provide renewal, trial-ending, price-change, or other reminder notices where required;
- cancellation will be available through a simple mechanism that is at least as easy to use as applicable law requires, including through the same medium used to enroll when required; and
- we will not obstruct, unreasonably delay, or impose an unlawful condition on a valid cancellation request.
By authorizing recurring billing, you authorize the payment processor identified at checkout to charge the selected payment method according to the disclosed billing terms until cancellation becomes effective. Prosperous Pairs does not store raw payment-card numbers or CVV when those are handled directly by the payment processor.
Cancellation stops future renewal according to the terms displayed at purchase. Except where a refund is required by law or expressly promised in the checkout or service order, cancellation after an applicable statutory or contractual cancellation window does not automatically refund a fully or partially used current term.
If Prosperous Pairs terminates a prepaid service without cause and not for your breach, fraud, nonpayment, safety issue, or legal restriction, we will provide any refund required by law and, where appropriate, a reasonable pro rata refund for the materially unused portion of the terminated paid service.
A free, sponsored, Community Access, grant, or zero-cost benefit will not automatically convert into a paid subscription unless you separately and affirmatively authorize the paid transaction.
Taxes, bank charges, currency-conversion costs, government fees, travel charges, and third-party charges may apply as disclosed. Mandatory state or country cancellation, refund, cooling-off, renewal, and consumer rights control over any inconsistent provision in this Section.
14. New York purchaser rights, cancellation notice, privacy protections, and dating safety
If New York General Business Law § 394-c applies to your purchase, the protections in this Section are incorporated into the contract and control over inconsistent provisions.
New York three-business-day cancellation right
YOU, THE BUYER, MAY CANCEL THIS CONTRACT WITHOUT ANY CANCELLATION FEE WITHIN THREE (3) BUSINESS DAYS AFTER THE DATE OF THIS CONTRACT. SEE THE NOTICE OF CANCELLATION BELOW FOR AN EXPLANATION OF THIS RIGHT.
For an online contract, a New York buyer may send a clear cancellation notice to contact@prosperouspairs.com. The checkout or contract record will identify the transaction date and the seller information required by law. A timely cancellation within the statutory period will be refunded within the period required by law.
New York Notice of Cancellation
For a covered New York sale, the completed Notice of Cancellation furnished with the contract will identify the transaction date, the last date for timely cancellation, and the seller's name, mailing address, and cancellation email. For an electronic contract, the notice may be furnished electronically in a clear and conspicuous, retainable form as permitted by law.
NOTICE OF CANCELLATION
Date of transaction: the date shown in your checkout, order confirmation, or contract record.
YOU MAY CANCEL THIS CONTRACT, WITHOUT ANY PENALTY OR OBLIGATION, WITHIN THREE (3) BUSINESS DAYS AFTER THE DATE OF THIS CONTRACT BY MAILING A SIGNED AND DATED NOTICE OF CANCELLATION BY CERTIFIED OR REGISTERED UNITED STATES MAIL OR BY EMAILING A SIGNED AND DATED CANCELLATION NOTICE TO THE SELLER AT THE ADDRESS OR EMAIL ADDRESS SPECIFIED IN YOUR CONTRACT. IF YOU CANCEL, ANY PAYMENTS MADE BY YOU UNDER THE CONTRACT WILL BE RETURNED WITHIN TEN (10) BUSINESS DAYS FOLLOWING RECEIPT BY THE SELLER OF YOUR CANCELLATION NOTICE.
To cancel, mail or email a signed and dated notice stating, “I HEREBY CANCEL THIS TRANSACTION,” or words of similar effect, to:

Additional New York purchaser rights
To the extent required by New York law:
- you may place a covered membership on hold for up to one year by written notice, and a longer hold may be agreed to within the statutory limit;
- Prosperous Pairs will not require the purchase of an ancillary service as a condition of entering into a covered social-referral contract;
- if the law requires a minimum-referral or no-referral cancellation remedy for the particular service model, that remedy applies, including the statutory limitation on any cancellation fee;
- for an online service generally available on a regional, national, or global basis, statutory travel-distance provisions apply only to the extent the law makes them applicable;
- Prosperous Pairs maintains a fair and reasonable policy for a purchaser who permanently moves outside an area in which a location-limited service is provided;
- Prosperous Pairs will not sell, assign, or otherwise transfer personal or private material acquired from a purchaser without the prior written consent required by law, subject to legally permitted service-provider processing and transfers addressed by the Privacy Policy; and
- at the expiration of a covered contract or services, covered personal or private materials will be promptly returned, destroyed, and deleted as required by New York law, with certification of destruction or deletion promptly provided where required, subject only to a statutory or court-ordered retention exception.
New York Dating Service Consumer Bill of Rights
At each covered New York sale or renewal, Prosperous Pairs will provide a clear and conspicuous, separate written Dating Service Consumer Bill of Rights or, for an online dating service, a conspicuous and appropriately labeled hyperlink to that notice. The production notice will contain at least the information required by New York General Business Law § 394-c, including the following:
- New York law limits the price and duration of covered social-referral contracts, subject to the statute's specific exception for qualifying online dating service contracts whose initial and renewal terms are each one year or less and whose price is reasonable in light of the service offerings.
- A social-referral provider may not require the purchaser to buy ancillary goods or services as a condition of entering into the social-referral contract.
- For covered contracts costing more than $25, the provider must furnish the referrals required by the statute unless the online-service exception applies; if the required referral performance is not provided for the statutory period, the purchaser has the statutory cancellation and refund remedy, subject to the permitted cancellation-fee calculation. For an online dating service with search functionality, an algorithm, or location-based matching, the applicable no-referral rule in the statute controls.
- Unless the contract is for online dating services generally available on a regional, national, or global basis, the contract must specify the distance the purchaser is willing to travel to meet a referral, and referrals beyond that distance may not be furnished.
- The provider must maintain a fair and reasonable policy addressing a purchaser who permanently moves outside the provider's service area, and that policy must be stated in the contract where applicable.
- If a provision of the covered social-referral contract is violated, the purchaser retains the right to bring a court action and obtain the remedies provided by law.
The separate production Bill of Rights will use the then-current statutory wording and presentation required by New York law. If the statute's prescribed notice differs from this summary, the statutory notice controls.
New York fraud-ban and safety notices
Where required, Prosperous Pairs will notify New York members who previously received and responded to an on-site message from a member later subject to a qualifying fraud ban. The notice will identify the banned profile as permitted by law, explain the fraud-related basis for the ban, warn against sending money or financial information, and provide anti-fraud information within the statutory timeframe.
Prosperous Pairs will also provide New York dating-safety awareness information at registration and through a conspicuous site link, including warnings to use caution with strangers, protect identifying and financial information, and use safer practices for in-person meetings.
15. U.S. state-specific dating-service rights and disclosures
The following provisions apply when the cited state law governs the relevant purchaser, member, or transaction. These rights are not waived by the New York governing-law clause in Section 26. The Service may present the applicable notice again at registration, checkout, messaging, profile display, renewal, or another legally required surface.
15.1 California
For an online dating service contract subject to California Civil Code §§ 1694–1694.4, the checkout/acceptance layer will present the required cancellation statement as a clear and conspicuous stand-alone first paragraph and will make a retainable copy of the contract available as required.
CALIFORNIA BUYER CANCELLATION NOTICE
YOU, THE BUYER, MAY CANCEL THIS AGREEMENT, WITHOUT ANY PENALTY OR OBLIGATION, AT ANY TIME PRIOR TO MIDNIGHT OF THE ORIGINAL CONTRACT SELLER’S THIRD BUSINESS DAY FOLLOWING THE DATE OF THIS CONTRACT, EXCLUDING SUNDAYS AND HOLIDAYS. TO CANCEL THIS AGREEMENT, MAIL OR DELIVER A SIGNED AND DATED NOTICE, OR SEND A TELEGRAM, WHICH STATES THAT YOU, THE BUYER, ARE CANCELING THIS AGREEMENT, OR WORDS OF SIMILAR EFFECT. THIS NOTICE SHALL BE SENT TO:

For convenience, an online California buyer may also submit a cancellation request through contact@prosperouspairs.com or any other cancellation mechanism displayed at checkout, without limiting any statutory method.
If death or a qualifying disability prevents a California buyer from receiving all contracted services, the buyer or estate may obtain the relief and allocation of prepaid amounts required by California law. If a qualifying disability is expected to last less than six months, the statutory extension option may apply. Relocation rights apply where California law makes them applicable; the statutory relocation provision does not apply to an online dating service generally available on a regional, national, or global basis.
Prosperous Pairs maintains dating-safety information and a means for users to report conduct concerns as required for covered online dating services.
15.2 Colorado
For an online dating service contract subject to Colorado Revised Statutes § 6-1-731, the checkout/acceptance layer will present the following required notice as a clear and conspicuous stand-alone first paragraph:
YOU, THE BUYER, MAY CANCEL THIS CONTRACT, WITHOUT ANY PENALTY OR OBLIGATION, AT ANY TIME PRIOR TO MIDNIGHT OF THE THIRD BUSINESS DAY FOLLOWING THE DATE OF THIS CONTRACT, EXCLUDING SUNDAYS AND HOLIDAYS. NOTICE OF CANCELLATION NEED NOT TAKE A PARTICULAR FORM AND IS EFFECTIVE IF IT INDICATES YOUR DESIRE TO NOT BE BOUND BY THIS CONTRACT. TO CANCEL THIS CONTRACT, SEND AN E-MAIL THAT STATES THAT YOU, THE BUYER, ARE CANCELING THIS CONTRACT, OR WORDS OF SIMILAR EFFECT. SEND THIS NOTICE TO: contact@prosperouspairs.com.
A timely Colorado statutory cancellation will receive the refund required by law. Death, qualifying disability, and other statutory contract protections apply to the extent required. Prosperous Pairs maintains dating-safety information and a reporting mechanism.
Colorado members may review the Colorado-applicable safety policy at prosperouspairs.com/dating-safety. That safety policy describes prohibited conduct, background-screening practices, identity/age verification practices, suspension and ban practices, appeals if offered, member-report procedures, notices to affected members where applicable, sexual-consent rules, Colorado resources, and safety measures. Prosperous Pairs will make filings and reports to the Colorado Attorney General when required by Colorado law.
15.3 Connecticut
If Connecticut General Statutes §§ 42-320 through 42-322 apply, you may cancel the covered social-referral contract at any time before midnight of the third business day after you receive a copy of the written contract or the third business day after the covered social-referral service is made available for your use, whichever is later.
CONNECTICUT BUYER NOTICE: YOU, THE BUYER, MAY CANCEL THIS CONTRACT AT ANY TIME PRIOR TO MIDNIGHT OF THE THIRD BUSINESS DAY AFTER YOUR RECEIPT OF THIS CONTRACT OR AFTER THE SOCIAL REFERRAL SERVICE HAS BEEN MADE AVAILABLE FOR YOUR USE, WHICHEVER IS LATER. SEE THE NOTICE OF CANCELLATION BELOW FOR AN EXPLANATION OF THIS RIGHT.
CONNECTICUT NOTICE OF CANCELLATION: To exercise the statutory right, send a signed and dated written notice by certified or registered United States mail to Prosperous Pairs LLC d/b/a Prosperous Pairs, 140 Lake Nancy Ln #116, West Palm Beach, FL 33411, USA. If you timely cancel, payments made under the covered contract will be returned within ten business days after receipt of the cancellation notice, as required by law.
15.4 Illinois
If the Illinois Dating Referral Services Act applies to the contract, all provisions, requirements, and prohibitions required by that Act and the Illinois Internet Dating, Internet Child Care, Internet Senior Care, and Internet Home Care Safety Act are incorporated into this written contract.
Because Prosperous Pairs is an online service and the purchase is not made at an existing dating-service facility, an Illinois customer has seven calendar days after signing in which to cancel the covered contract and receive a full refund of all money paid, in addition to any other rights or remedies provided by law.
For statutory cancellations, relocation, or death rights under the Illinois Dating Referral Services Act, written notice must be delivered by certified or registered mail to Prosperous Pairs LLC d/b/a Prosperous Pairs, 140 Lake Nancy Ln #116, West Palm Beach, FL 33411, USA as required by the statute. Refunds required under that Act will be made within the statutory period. Illinois relocation and death protections, contract-term limitations, anti-overlapping-contract rules, and non-waivable remedies apply to the extent required by law.
ILLINOIS CRIMINAL BACKGROUND SCREENING DISCLOSURE: PROSPEROUS PAIRS DOES NOT CONDUCT THE CRIMINAL BACKGROUND SCREENING DEFINED BY ILLINOIS LAW ON EVERY MEMBER BEFORE THE MEMBER MAY COMMUNICATE WITH AN ILLINOIS MEMBER. A manual public-registry or identity review used for a particular safety or legal-compliance workflow is limited and is not represented as the comprehensive screening described by Illinois law. The Service will display the legally required Illinois disclosure in the required prominence and locations.
Prosperous Pairs also provides Illinois members with dating-safety awareness information, including that identity can be falsified, caution is necessary when communicating with strangers, identifying and financial information should be protected, and safer practices should be used for face-to-face meetings.
15.5 New Jersey
Prosperous Pairs provides New Jersey members with the dating-safety awareness information required by the New Jersey Internet Dating Safety Act.
NEW JERSEY CRIMINAL BACKGROUND SCREENING DISCLOSURE: PROSPEROUS PAIRS DOES NOT CONDUCT CRIMINAL BACKGROUND SCREENINGS ON ALL MEMBERS BEFORE A NEW JERSEY MEMBER MAY COMMUNICATE WITH ANOTHER MEMBER. Any manual public-registry or identity review performed for a particular applicant, international-compliance workflow, or safety concern is limited and must not be interpreted as a comprehensive criminal background screening of every member. The Service will repeat this disclosure in the legally required prominence and locations.
15.6 Texas
For Texas members, Prosperous Pairs does not represent its manual NSOPW, public-registry, identity, or safety review as the “criminal background check” defined by Texas Business & Commerce Code § 106.003 unless the full statutory screening standard has actually been completed for the relevant members.

The Service will display this disclosure clearly and conspicuously in bold capital letters and at the minimum size required by Texas law.
15.7 Other states
Other states may impose additional contract, cancellation, renewal, privacy, safety, registration, bond, filing, recordkeeping, or refund requirements. Those mandatory requirements apply where legally required. Prosperous Pairs may restrict new paid services or particular features in a state until any required registration, filing, bond, safety policy, regulatory submission, or other prerequisite has been completed.
16. Promotions, Community Access, grants, and sponsorships
Promotions and benefit programs are governed by their stated eligibility, duration, use, stacking, approval, and expiration rules. A code or benefit does not approve an application or guarantee a match or introduction.
A benefit may be declined, paused, exhausted, or cancelled because of expiration, ineligibility, duplication, misuse, fraud, or material misrepresentation. Unless expressly stated otherwise, a benefit has no cash value and is not transferable.
17. Events, travel, and hosted experiences
Events, international travel, and hosted experiences are separate, qualification-based offerings. Displayed experience prices may be starting or planning values rather than guaranteed final quotes. Airfare, visas, insurance, taxes, permits, government charges, medical requirements, documentation, and personal expenses may be separate.
Participation may require additional agreements, waivers, travel documents, operational confirmation, and third-party vendor terms. Prosperous Pairs does not guarantee transportation availability, entry into a country, visa approval, safety, or a particular introduction during an experience.
You are responsible for obtaining independent travel, medical, immigration, and legal advice appropriate to your circumstances.
18. Relationship assessments and AI-assisted features
Questionnaires, educational material, compatibility information, and human observations are informational and are not medical or psychiatric diagnoses.
Prosperous Pairs will not activate a material AI-assisted relationship assessment, behavioral profiling, automated consequential decision, biometric identification, or similar sensitive-data feature without appropriate product, privacy, vendor, security, legal-basis, notice, and consent review where required.
AI-assisted output may be incomplete or inaccurate and will not be represented as a guarantee of compatibility, identity, safety, or future conduct.
19. Third-party services
The Services may rely on third parties for hosting, storage, email, payment processing, appointment booking, video meetings, anti-bot protection, security, communications, maps, or other operational functions. Third-party services may have their own terms and privacy practices.
To the extent permitted by law, Prosperous Pairs is not responsible for a third party’s independent service, outage, content, or conduct. This clause does not excuse Prosperous Pairs from duties that applicable law imposes on Prosperous Pairs for its selection, instruction, or oversight of a service provider.
20. Intellectual property
Except for member content and third-party material, the Services—including software, design, branding, text, educational material, and compilations—are owned by or licensed to Prosperous Pairs and protected by applicable law.
These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended personal purpose. You may not copy, modify, reverse engineer, distribute, sell, sublicense, or create derivative commercial products from the Services except as applicable law expressly permits.
20A. Copyright complaints and DMCA process
Prosperous Pairs respects intellectual-property rights and may remove or disable access to content in response to a facially valid copyright complaint or other appropriate legal notice. We may terminate or restrict accounts of repeat infringers in appropriate circumstances.
A notice alleging copyright infringement should identify the copyrighted work, identify the material claimed to be infringing and information reasonably sufficient to locate it, provide the complaining party’s contact information, include a statement of good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law, include a statement that the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act for the copyright owner, and include a physical or electronic signature.
Where the U.S. Digital Millennium Copyright Act applies, an eligible user whose material was removed may submit a legally sufficient counter-notification. Prosperous Pairs may restore material after the statutory waiting period when permitted and appropriate.

21. Suspension, restriction, and termination
Prosperous Pairs may restrict, suspend, decline, or terminate an application, account, feature, contact release, payment privilege, event participation, or membership for a safety concern, suspected fraud, nonpayment, material misrepresentation, unlawful conduct, violation of these Terms, or unresolved legal or compliance requirement.
We may act immediately when reasonably necessary to protect a person, preserve evidence, prevent fraud, prevent circumvention of a ban or compliance gate, or comply with law. Where appropriate and legally permitted, we may request additional information or offer a human review of a decision.
You may request account closure at contact@prosperouspairs.com. Closure does not require deletion of records that must lawfully be retained for legal, safety, fraud-prevention, billing, dispute, audit, or statutory purposes.
22. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PROSPEROUS PAIRS DOES NOT WARRANT UNINTERRUPTED AVAILABILITY, ERROR-FREE OPERATION, A PARTICULAR NUMBER OR TYPE OF MEMBERS, A PARTICULAR NUMBER OF MATCHES OR INTRODUCTIONS UNLESS EXPRESSLY PROMISED IN A SEPARATE WRITTEN ORDER, COMPATIBILITY, IDENTITY, HONESTY, CONDUCT, SAFETY, RELATIONSHIP SUCCESS, TRAVEL, MARRIAGE, OR IMMIGRATION OUTCOME.
SCREENING, IDENTITY REVIEW, MODERATION, REPORTING, AND SAFETY TOOLS REDUCE SOME RISKS BUT CANNOT ELIMINATE THEM.
Nothing in these Terms excludes a warranty, duty, right, or remedy that cannot lawfully be excluded or limited.
23. Assumption of inherent dating and meeting risks
You understand that communicating with and meeting people you do not already know involves ordinary and inherent risks, including deception, emotional harm, financial fraud, harassment, stalking, theft, assault, travel disruption, and other misconduct. You remain responsible for your independent decisions about communication, meetings, transportation, money, travel, lodging, intimacy, and relationships.
This section allocates ordinary risks that Prosperous Pairs cannot completely control. It does not waive liability that applicable law does not permit Prosperous Pairs to waive.
24. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPEROUS PAIRS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS CAUSED SOLELY BY THE INDEPENDENT CONDUCT OF ANOTHER USER OR THIRD PARTY THAT PROSPEROUS PAIRS DID NOT DIRECT, AUTHORIZE, OR NEGLIGENTLY CAUSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPEROUS PAIRS’ AGGREGATE LIABILITY ARISING FROM A PARTICULAR PAID SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO PROSPEROUS PAIRS FOR THAT SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR A CLAIM ARISING SOLELY FROM A FREE SERVICE, THE AGGREGATE CAP IS US$100.
The exclusions and caps above do not apply to liability that cannot lawfully be limited, including where applicable liability for fraud, willful misconduct, non-waivable gross negligence, unlawful discrimination, violation of non-waivable privacy or consumer-protection duties, knowing facilitation of trafficking or exploitation, or other liability that law makes non-excludable.
25. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold Prosperous Pairs harmless from third-party claims, losses, and reasonable costs arising from your unlawful conduct, fraud, trafficking or exploitation, material breach of these Terms, infringement of another person’s rights, unauthorized disclosure of another person’s information, or content you submitted.
This provision does not require you to indemnify Prosperous Pairs for Prosperous Pairs’ own unlawful conduct and does not limit non-waivable consumer rights.
26. Informal dispute resolution; governing law and forum
Before filing a non-emergency civil dispute against Prosperous Pairs, you and Prosperous Pairs agree to send a written description of the dispute and requested resolution and allow 30 days for a good-faith attempt to resolve it. This requirement does not prevent either party from seeking urgent protective relief, making a safety report, filing a privacy or consumer complaint with a regulator, using small claims court where available, or exercising a right that applicable law does not permit to be delayed.
Except where mandatory law requires otherwise, these Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Subject to any mandatory consumer forum or other non-waivable jurisdictional right, civil court proceedings may be brought in a state or federal court in New York State having subject-matter and personal jurisdiction.
These Terms do not impose mandatory arbitration, a jury-trial waiver, or a class-action waiver. Prosperous Pairs may adopt a separately presented dispute-resolution agreement in the future only with legally appropriate notice and assent.
27. Changes to the Services or Terms
We may change the Services and update these Terms as operations, pricing, safety practices, or law changes. We will provide legally appropriate notice of material changes and request acceptance of a new version where required.
A material amendment will not retroactively deprive you of a completed transaction right or other non-waivable legal right.
28. Language
The approved English version is the controlling contract except where applicable law requires another language to control or requires a disclosure or consent in a person’s primary language.
A convenience translation must be based on the approved English version and should identify the applicable version. A convenience translation does not replace a separately required statutory primary-language disclosure or consent.
29. General provisions
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver.
You may not transfer your account or these Terms without written permission. Prosperous Pairs may assign these Terms in connection with a merger, financing, reorganization, sale of substantially all relevant assets, or transfer of the Services, subject to applicable law and the Privacy Policy.
These Terms, the Privacy Policy, the applicable checkout or service order, and any separately accepted screening authorization, state addendum, event agreement, travel agreement, or compliance consent form the agreement governing the relevant Service. A specifically negotiated or separately accepted agreement controls over these Terms only for its stated subject.
